GENERAL TERMS OF SERVICE

(Effective as of 10/28/2025)

These Terms of Service (“Terms”) govern all Client relationships with RightSide Talent, LLC (“RightSide”), a Florida limited liability company, and apply to all staffing services provided by RightSide under any signed Service Agreement (“Agreement”).

1. NO GUARANTEES

Client acknowledges that RightSide cannot guarantee the success or performance of any individual RightSider (the “Talent”). Success depends on multiple factors including Client’s leadership, communication, culture, training, and internal processes.

RightSide guarantees its best efforts in recruitment, vetting, training, and ongoing support — but, as with any staffing arrangement, results vary by Client engagement and management.

2. RIGHTSIDE’S OBLIGATIONS

RightSide shall be obligated to ensure RightSide hires and pays Talent directly.

3. CLIENT’S OBLIGATIONS

In addition to timely payment of all fees, Client agrees to:

a. Respect & Dignity – Treat RightSiders professionally, respectfully, and as valued members of the extended team.
b. No Direct Payments – Not pay, gift, or compensate Talent directly outside of RightSide’s approved payment channels.
c. Compliance – Comply with all terms of this Agreement and any policies reasonably set forth by RightSide.
d. Communication – Maintain regular communication and provide clear task expectations.
e. Lawful Conduct – Not assign work that violates any applicable laws, privacy rules, or ethical standards.

4. TECHNOLOGY & SECURITY

RightSide may provide secure tools and access environments (such as Virtual Desktops or AI platforms) to enhance Talent performance.

Client agrees to:

Use any provided systems only for business-related activities.

Maintain security and confidentiality of any shared systems or credentials.

Promptly report misuse, breaches, or data concerns to RightSide.

RightSide makes no warranties, express or implied, as to the operation, uptime, or compatibility of such systems and is not liable for losses related to third-party software or integrations.

5. ENFORCEMENT OF THE SERVICE AGREEMENT

a. Chargebacks
Client waives any right to initiate chargebacks. All disputes must follow the notice and resolution provisions in the Service Agreement.

b. No Refunds
RightSide invests significantly in recruiting, training, and employing each RightSider. Additionally, certain international employment laws require continued compensation or separation pay for Talent. Therefore, no refunds shall be issued after Talent onboarding.

c. Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, without regard to conflicts of law principles.
Venue for any disputes shall lie exclusively in the courts of Osceola County, Florida.
The parties waive the right to a jury trial.
In any action arising from this Agreement, the prevailing party shall be entitled to recover reasonable attorney’s fees and costs.

d. Definition of “Talent”
For purposes of enforcement, “Talent” refers to any person currently or previously placed by RightSide with a Client within the past 18 months, regardless of classification as employee or contractor.

6. AFFILIATED MANAGEMENT ENTITIES

Client acknowledges that RightSide may engage affiliated entities or administrative partners for payroll, billing, client support, or compliance management. These entities act under RightSide’s authority but have no independent liability to Client.

All duties owed to Client are owed solely by RightSide Talent, LLC. Any attempt to pursue claims against such affiliates shall be sanctionable and subject to damages, including recovery of RightSide’s legal fees.

7. LIABILITY FOR TALENT PERFORMANCE

RightSide shall not be liable for any indirect, incidental, or consequential damages, including loss of data, revenue, or opportunity, arising from the actions or performance of Talent.

As with any hiring decision, Client assumes the normal risks associated with staff integration, training, and management.

Client is responsible for implementing appropriate business safeguards and confidentiality measures for proprietary data.

8. ADDITIONAL PAYMENTS

All bonuses, commissions, or pay increases to Talent must be processed through RightSide.

A 3% processing fee plus any required pass-through costs (such as taxes or statutory contributions in the Talent’s country) will be applied to all additional payments.

9. WORK HOURS

RightSiders typically work up to 40 hours per week (8 hours per day, Monday–Friday), subject to Client’s preferred schedule and the Talent’s local timezone.

Any additional hours or weekend work require prior approval from both Client and RightSide and may incur additional fees.

10. TIME OFF & LEAVE

Paid time off, holidays, sick leave, and other employment terms vary by the Talent’s country and are administered according to local labor laws.

RightSide will provide Client with advance notice of any planned leave or local holidays.

11. NON-DISCRIMINATION

Client agrees not to discriminate in any form or manner, including but not limited to race, color, nationality, ancestry, age, religion, disability, gender, gender identity or expression, sexual orientation, or any protected classification under applicable law.

12. SEVERABILITY

If any provision of this Agreement is found invalid or unenforceable, the remaining provisions shall remain in full force and effect.

13. JOINT-EMPLOYER LIABILITY

Client acknowledges that it may be held liable under U.S. or foreign law as a joint employer if it violates wage, discrimination, or labor regulations.

Client agrees to indemnify and hold harmless RightSide against all claims, damages, or costs arising from Client’s misuse of Talent or unlawful conduct.

14. REVISIONS & UPDATES

RightSide reserves the right to modify or update these Terms of Service at any time. Updated Terms shall be published on this page and shall become effective immediately upon posting.

Client’s continued use of RightSide’s services constitutes acceptance of any revisions.
